These Terms of Service ("Terms") govern your use of klipsy.ai and app.klipsy.ai (the "Service"), operated by klipsy ("we", "us"). Full legal entity details are listed in our Impressum.

By accessing the Service, joining our waitlist, or creating an account, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Service description

klipsy is an AI creative suite providing tools for image generation, video generation, voice synthesis, talking-head animation, and related content creation. The Service is provided on a pay-per-use credit model and through monthly/yearly subscription plans.

The Service is currently in private beta. Features, pricing, and availability may change without notice during this phase.

2. Eligibility

You must be at least 16 years old to create an account. By creating an account you confirm that you meet this requirement and that all information you provide is accurate.

3. Accounts

• You are responsible for keeping your login credentials secure
• You must not share your account or allow others to use it
• You must notify us immediately if you believe your account has been compromised
• We may suspend or terminate accounts that violate these Terms

4. Credits and billing

4.1 Pricing model

The Service uses a credit-based pricing model. Each generation (image, video, voice, etc.) consumes credits based on the underlying compute cost. Current credit costs are displayed in the app before each generation.

4.2 Subscription plans

Subscriptions are billed monthly or yearly in advance. Credits from a subscription expire at the end of the billing period (do not roll over). The current plans are:

• Free: 100 credits / week (rolling)
• Basic: $15/month or $144/year, 3,000 credits/month
• Pro: $35/month or $336/year, 10,000 credits/month
• Studio: $89/month or $854/year, 30,000 credits/month

4.3 Top-up packs

One-time credit purchases are available in packs: Small (2,000 credits, $9), Medium (10,000 credits, $35), Large (30,000 credits, $89), and XL (100,000 credits, $249). Top-up credits do not expire. All prices are in USD; EU VAT (where applicable) is included.

4.4 Refunds

EU consumers have a 14-day right of withdrawal under EU Directive 2011/83/EU. However, this right does not apply once you have started consuming credits for generations. Specifically: subscription fees are non-refundable once the first generation has been performed in the billing period. Unused top-up credits may be refunded within 14 days of purchase if no generations have been made with them.

4.5 Failed payments

If a recurring payment fails, we will retry 3 times over 7 days. After that, the subscription is canceled and the account reverts to Free tier. Outstanding balances may be sent to debt collection if not resolved within 30 days.

4.6 Price changes

We may change prices with at least 30 days notice. Existing subscriptions keep their current price until the next renewal.

5. Acceptable use

You agree NOT to use klipsy to:

• Generate content that depicts real, identifiable people without their consent (deepfakes, non-consensual intimate imagery)
• Generate child sexual abuse material (CSAM) — we report all such attempts to authorities
• Create content that infringes copyright, trademark, or other intellectual property rights
• Impersonate any person or entity, including klipsy, for the purpose of deception or fraud
• Generate content for political disinformation, election interference, or harmful propaganda
• Reverse engineer the Service, scrape it, or attempt to access non-public APIs
• Resell credits or sublicense the Service without our written permission
• Submit prompts that contain malware, exploits, or attempt to manipulate AI safety systems

We may suspend or terminate accounts that violate these rules without refund.

6. Intellectual property

6.1 Your content

You own the content you generate with klipsy, subject to applicable law. You may use generated content for commercial purposes including in advertising, product imagery, social media, and resale. klipsy claims no copyright in your generated outputs.

6.2 Limitations from upstream models

Generated content is produced by third-party AI models (Google Gemini, Replicate-hosted models, etc.). Each provider has its own terms that may restrict commercial use of certain outputs. We do our best to surface these restrictions in the UI but cannot guarantee that every model's commercial-use status is current. You are responsible for verifying commercial-use rights of specific models before using outputs in commercial work.

6.3 Our content

The klipsy name, logo, UI design, code, documentation, and marketing materials are owned by klipsy. You may not use these without written permission.

7. Privacy

Your use of the Service is also governed by our Privacy Policy and Cookie Policy.

8. Service availability

We aim for high availability but do not guarantee uninterrupted service. Especially during private beta, we may have planned downtime, feature regressions, or model deprecations. We will communicate major changes via email to affected users.

9. Disclaimers

The Service is provided "AS IS" without warranties of any kind, express or implied, except those that cannot be excluded under EU consumer protection law. AI-generated content may be inaccurate, biased, or contain artifacts. You are responsible for reviewing generated content before using it.

10. Limitation of liability

To the maximum extent permitted by law, our total liability for any claim arising from the Service is limited to the amount you paid us in the 12 months preceding the claim. This limitation does not apply to: (a) liability for damages caused intentionally or by gross negligence, (b) liability for personal injury or death, (c) liability under mandatory consumer protection laws.

11. Termination

You may cancel your subscription anytime via the account dashboard. We may suspend or terminate accounts for violations of these Terms, illegal use, or non-payment.

12. Governing law and jurisdiction

These Terms are governed by Austrian law, excluding its conflict-of-law rules. The UN Convention on Contracts for the International Sale of Goods does not apply.

For consumer disputes, mandatory consumer protection laws of your country of residence in the EU also apply. For business customers, jurisdiction is the competent court in Vienna, Austria.

13. Online dispute resolution

The European Commission provides an online dispute resolution platform at ec.europa.eu/consumers/odr/. We are not obligated and not willing to participate in dispute resolution proceedings before a consumer arbitration body.

We may update these Terms. We will notify registered users by email at least 30 days before material changes take effect. Continued use of the Service after the effective date constitutes acceptance.
